Retirement Plans Legal Update

Ed Bernard
will provide an update on recent legal developments affecting retirement plans, with a focus on key Supreme Court and other important court cases, and IRS and Department of Labor guidance affecting retirement plans.
Mr. Bernard is a partner at the San Francisco law firm of Hanson Bridgett LLP, where he counsels private, nonprofit and public employers on all aspects of qualified and nonqualified retirement plan and health and welfare plan design, implementation and compliance. He also designs and drafts nonqualified retirement plans, including top-hat supplemental executive retirement plans and section 457(f) plans. He received his undergraduate degree from Earlham College and his law degree from the University of the Pacific, McGeorge School of Law.

Global Equity Compliance Strategies for Multinational Companies

As U.S. and non-U.S. governments have become increasingly focused on equity awards, companies face greater exposure than ever for noncompliance with applicable tax, securities, exchange control and data privacy laws. In this session, Nicole Calabro and Tery Williams of Baker & McKenzie LLP will address methods and steps for assessing the compliance status of equity plans, procedures for minimizing exposure and bringing plans into compliance, and best practices and strategies for maintaining compliance. This session will focus on measures and approaches that companies can easily adopt and implement to ensure that their stock plans are established, operated and maintained in accordance with the various legal, regulatory and tax obligations arising from country-to-country where awards are granted. 

Ms. Calabro is of counsel in Baker & McKenzie LLPs Global Equity Services Group in San Francisco, where she practices in the area of compensation and employment. She regularly assists public and private companies in offering their employee equity plans around the globe. Ms. Calabro consults on plan design, tax considerations, securities filing and disclosure requirements, exchange control rules, labor law exposure, data privacy concerns and other compliance issues connected to offering employee equity plans in different jurisdictions. 

Ms. Williams is of counsel in the Global Equity Services Group in Baker & McKenzie LLPs San Francisco office, where she advises clients on the tax and legal considerations of awarding equity and other long-term incentive vehicles to employees and non-employees around the world. She advises clients on plan implementation, ongoing plan compliance, and tax and legal considerations with respect to incentive awards in the context of corporate transactions, such as mergers, IPOs and re-domestications.

Cyber Security - A Constant Challenge

Recent large-scale security breaches have impacted benefit providers, among other businesses.  What lessons can be drawn from these events, and what are the challenges that remain? 
In this session, Andrew Schofield will discuss the risks that are involved when dealing with data, the various security rules required in protecting that data, assessing your cyber security risk and what conversations you should have with your IT department. 
Mr. Schofield, CISSP®, has been with Charles Schwab & Co. for over 17 years. He has worked across both technology and web product management in both the Retail and Advisor Services enterprises. Outside of Schwab, Mr. Schofield is a retired Lieutenant Colonel in the United States Army Reserve, where his final assignment was as the commander of an information operations and operational security battalion. He holds a Baccalaureate of Science degree from Arizona State University and is a graduate of the United States Army Command and General Staff College.

Group Health Plans: Top 5 Issues for 2016

Now that the Supreme Court has upheld (again) a key component of the Affordable Care Act, employers are turning their attention to health plan issues they will need to address in 2016. In this session, Carol Malenka will cover employer shared responsibility reporting, the ACA’s out-of-pocket maximums, round two of reinsurance fee payments, mental health parity, and supplemental health insurance topics.
Ms. Malenka is a principal in Mercer’s San Francisco health and benefits practice, where she leads its Northern California compliance group. She advises employers on a wide range of federal and state regulatory issues affecting health and welfare plan design and administration, including those under the Affordable Care Act, ERISA, HIPAA, COBRA and the Internal Revenue Code.  Prior to joining Mercer, Ms. Malenka was an in-house benefits attorney for two major Bay Area corporations and a partner at the law firm of Hanson Bridgett LLP in San Francisco.
